摘要: 在工業電腦產業裡,少量多樣化的特性,使得這些廠商在思考企業成長時,購併列入求成長的手段之一。本研究試圖找出這些個案裡,在購併後,如何產生綜效,及組織結構如何調整。並回答下列問題: 一、組織擴大後,購併執行結構及方法,是否需因應控制幅度改變,進行調整。 二、在不同購併目的下,被購併公司裡的功能面組織,是否存續或擴張,與購併目的是否有關連性。 三、如何消除管理流程以及文化差異,在產業裡,需要先接手那些部份進行管理。 經由購併目的及購後管理的探討,及個案資料的研究。獲致結果如下: 一、個案研究發現,因為組織成長擴大,購併決策由CEO發起,調整為事業群提出,並系統化評估及運作,以提升購併運作效率。 二、在個案研究發現,每一個購併案均依以其特性作個別處理,是否擴編或縮編組織,與購併目的有依存關係。 三、購後管理部份,個案公司統一在資訊管理、財務管理及人力資源管理進行強化,以達到公司整合策略的目的。
In the industrial computer domain, the customer almost requests small quantity and diversified of product type, when these companies thinking how to growth their business, the M&A are normally in the options. This study attempts to identify these cases, how to produce more power of synergy, and decide re-originations issues, including the following, 1.Do they need to change the decision method and structure, when organization was expanded, and adjust the related part of organization? 2.In different goal, how to modify the new organization for fit requirements and market? 3.Find out how to avoid the culture conflict; also, identify where as high priority of management issues, and handling process. After the case study, and research of related documents, there has come out the result as following 1.For fit the expansion of organizational growth, acquisitions decision-making initiated by the CEO, adjusted for the sub BU and to be systematic and operational assessment to improve the operational efficiency of M&A. 2.In the case study found that each of its properties follow those used acquisitions as a separate treatment, whether expansion or downsizing of the organization, all dependencies on the M&A goal. 3.About post-merger, the case company unified in information, financial and H&R management; and then integrated a way for strategy and achieves the obj-ective of the company.
